Terms & Conditions

PLEASE REVIEW THE FOLLOWING MIGHTYSTONE MOBILE APP SERVICE AGREEMENT TERMS AND CONDITIONS CAREFULLY BEFORE USING THE MIGHTYSTONE DIGITAL PLATFORM (ALSO KNOWN AS MIGHTYSTONE DIGITAL GLOBAL MARKETPLACE) ACCESSIBLE THROUGH MOBILE APPS. THESE TERMS OF SERVICES CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU AND MIGHTYSTONE. THIS AGREEMENT IS GOVERNED BY THE LAWS OF THE UNITED STATES OF AMERICA.

Except to the extent expressly provided in the following paragraph, this Agreement and the relationship between you and MightyStone, and all Transactions on the Services shall be governed by the laws of the State of Pennsylvania, excluding its conflicts of law provisions. You and MightyStone agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Allegheny, Pennsylvania, to resolve any dispute or claim arising from this Agreement.

1. User Acceptance of Terms Of Services

BY CLICKING THE BUTTON TO ACCEPT THESE TERMS OF SERVICES AGREEMENT, YOU ARE GIVING YOUR CONSENT TO AGREE FULLY TO THESE TERMS OF SERVICES AND FURTHER AGREES TO BE BOUND BY THIS AGREEMENT TO THESE TERMS OF SERVICES LISTED HERE. If you do not accept all of the terms of services, we request you not to use the services offered by MightyStone.

1.1 All users of the digital platform agree that MightyStone reserves the right to amend this agreement and terms of services (a.k.a the 'agreement') at any time. The amended and restated agreement will be in effect immediately after it is posted here on the site. Continued use by all users of the MightyStone digital platform after the amended and restated agreement by MightyStone will be deemed to be acceptance of the amended and restated agreement and the terms of services.

2. Payment Transactions

2.1 All payment transactions from buyers through ACH transfers between bank accounts, are authorized by the bank account owner, who is making the purchase related payments. To elaborate, the buyer authorizes the payment by logging in to their bank account during the checkout process, giving the consent to debit their bank account for the amount of transaction. Buyers at their discretion may also authorize the purchases related payments using other payment methods including but not limited to cards, bank debits, bank redirects, buy now/pay later, wallets etc.. It is important for the users to save the electronic receipts of the processed transactions for future reference.

2.2 At the time of on-boarding to the digital platform, it is critical for all the users including but not limited to buyers, sellers and shippers to provide the correct information, including but not limited to, email, phone number, company details, bank account information for the ongoing activities, including but not limited to, contact and payment.

2.3 All users of the digital platform agree that transactions of the digital platform has risks, including but not limited to, 1) loss of payment made that requires further investigation through financial organization and/or banks and/or local and international law enforcement authorities, 3rd party organizations, 2) payments may get delayed, may further cause cancellation of the sale and/or delivery after the sale, 3) product selected or purchased may no longer unavailable, 4) product lost due to reasons, including but not limited to, transportation accidents, natural disturbances. 5) product delivered not meeting expectations. ) quality issues with product delivered. 7) liability risks to users from other platform users. All users of the digital platform agree that, for any damages and losses incurred to platform users in connection with such risks and/or issues, there is no liability to MightyStone and all the MightyStone, Soori Global Systems, Inc's owners and associated, including but not limited to, MightyStone employees, contractors, partners and associates.

2.4 All users of the digital platform agree that the purchase decisions through the digital platform are made without viewing actual products. In addition, users agree that, all the business transactions between the digital platform users including but not limited to buyers, sellers and shippers are made at their own discretion with no warranty from and no liability to MightyStone and all the MightyStone, Soori Global Systems, Inc's owners, employees, contractors, partners and associates.

2.5 MightyStone does not warrant any specific period for resolution of payment transaction related risks and/or issues, including but not limited to, those listed in this 'Payment Transactions' section.

2.6 All users of the digital platform agree that MightyStone does not have any liability for any damages and losses incurred to users in connection with such risks and/or issues, including but not limited to, those listed in this 'Payment Transactions' section. All users of the MightyStone digital platform agree that the transactions occurring through the digital platform are performed directly between the users through the platform that is facilitating the transaction with no liability. To elaborate further, buyer purchases directly from seller, shipper on-behalf of the buyer, collects the product from the seller and delivers directly for the buyer. MightyStone receives the payment from the buyer, distributes the associated payments (payouts) to the seller and shipper after keeping the platform charges. The sellers and shippers agree that they reviewed and agreed to the platform charges which are dynamic and vary.

2.7 Buyers agree that buyers take the full responsibility for their actions and for the purchases performed by them using the digital platform with no liability to MightyStone and allows MightyStone to represent buyers in dealing with and making payments to sellers and shippers that are associated with the buyer purchases. In case of any issues after receiving the product, buyers agree that they will not hold MightyStone responsible but deal directly with the Party involved including but not limited to sellers and shippers as needed.

2.8 Buyers agree that the purchase orders may be cancelled, shippers may be changed, products may be sourced from different sellers, by MightyStone in order to fulfill the purchase order to the buyer, with or without specifying the reason.

2.9 Sellers agree that they are selling their products to buyers through MightyStone without directly connecting to buyers, sellers take the full responsibility of their actions, the product quality they are selling and be liable to any issues and damages claimed by the associated buyers and the shippers with no liability to MightyStone. Sellers agree that they allow MightyStone to represent sellers to collect their selling related payments from buyers.

2.10 Shippers agree that they are collecting the products from sellers, on behalf of the buyer, shippers take the full responsibility of their actions, deliver the products to buyers within the cost and duration specified by the shippers, with no damages to the products, shippers take full insurance coverage for any type of loss during the end-to-end shipping from sellers to buyers, be liable for any type of the product loss and deal directly with the Party involved including but not limited to sellers and buyers towards any of their claims with no liability to MightyStone. Shippers agree that they allow MightyStone to represent shippers to collect their shipping related payments from buyers.

3. Sale confirmation, Cancellation & Refund Policy

3.1 Buyer of the MightyStone digital platform agrees 'that no refunds are allowed after the purchases are made'. Buyer of the MightyStone digital platform agrees 'that no exchanges are allowed after the purchases are made'. Seller of the MightyStone digital platform agrees 'that the product purchase is considered as completed after the buyer confirms the shipment'. Shippers of the MightyStone digital platform agree 'that product delivery is considered as completed after the buyer confirms the delivery with buyer's signature'.

3.2 Buyer agrees that trading through the digital platform does not allow the buyer to physically see, touch and feel the product prior to confirming the sale. Buyer agrees that there are risks include but not limited to, 1) quality of product delivered is not meeting buyer's specification and/or expectations, 2) a defective or unsatisfactory quality product, 3) delay and/or cancellations in delivery, 4) costs not calculated correctly, 5) accident during transportation. All users of the digital platform including buyers agree that MightyStone will have no liability and will not take responsibility for any loss of business to users of the platform incurred due to such risks.

3.3 Buyer agrees that it is possible that the buyer or representation at the delivery location, not available to sign and confirm the delivery when the shipper arrives at the delivery location to deliver products. In such situations, the buyer agrees that the shipper delivers the products at the delivery location and buyer agrees further that the delivery is considered as completed without the buyer's signature.

3.4 All users of the digital platform agree to act promptly on their associated actions as part of the end-to-end process flow of the digital platform in order to achieve the speed of delivery. This includes but not limited to a) seller adds/updates product inventory available so that buyers browse products and purchase b) buyer makes payments after the checkout so sellers upload the product images for buyers to review and confirm c) buyer confirms the product images and ensures that payment is fully made so that sellers prepare for shipping d) seller completes factory sealing, ensures that product is ready so that shipper can collect the product for shipping e) shippers ships the product and provides information required, including but not limited to, transportation and export related tracking so that buyers can get the latest information of the shipment e) buyer is available to receive the product on-time and confirms the delivery by shipper by providing the signature.

3.5 All users of the digital platform agree that MightyStone reserves the right to cancel the order or the user registration at anytime with or without specifying the reason, and refund fully or partially after deducting the undisclosed charges in case by case basis with or without specifying the reason, while aiming at positioning MightyStone as the high quality and low price platform for trading products across the world digitally.

3.6 All users of the digital platform agree that MightyStone is not liable or not responsible for or any damages and losses incurred to users in connection with any issues, including but not limited to, sale and/or user registration cancellations, inability to use the service or features provided by the platform.

3.7 As part of the order fulfillment, prior to sealing the product packaging, seller agrees that MightyStone reserves the right to collaborate with seller in actions including but not limited to 1) measuring the final product dimensions being shipped for invoicing purposes 2) enabling real time product tracking by using unique identifiers such as purchase orders etc. Sellers agree that MightyStone reserves the right to cancel the order with the seller with or without specifying the reason while collaborating with the seller during the order fulfillment process. Sellers agree that the final product price shall never exceed the price listed in the purchase order. Seller agrees to effectively collaborate with the shipper in order to ship the product without any delays, shipper agrees to collect the payments directly from the seller for any ‘add-on services’ provided to the seller, outside scope of the default FOB terms. Buyer agrees that MightyStone reserves the right to complete the order fulfillment for the buyer, with slight variations in final product dimensions as identified while collaborating with the seller.

4. Privacy Policy

4.1 MightyStone respects the privacy of our users and will not sell user data to other parties. MightyStone will not ask for sensitive information such as personal SSN and we request the users not to disclose any sensitive and financial related information to MightyStone personnel.

4.2 All users of the digital platform agree to use the platform strictly for trading purposes without causing MightyStone any business, technology and/or legal overheads and/or losses.

4.3 All users of the digital platform agree that they do not disclose any confidential business related information, including but not limited to, bill of lading info., product pricing info., personal and business contact info., for any personal, non-trading, marketing or other party's use causing MightyStone the technology, business and legal overheads and/or losses.

4.4 All users of the digital platform agree that they do not to use the digital platform assets, including but not limited to, images, inventory, shipment tracking information fields etc. added to the platform as user input, for any personal, non-trading, marketing or other party's use causing MightyStone the technology, business and legal overheads and/or losses.

4.5 All users of the digital platform agree that they do not to disclose any information associated to 1) Any country-owned Government data 2) EU personal data 3) Military data 4) Personal Health Records (PHR) 5) US Agency data 6) US Department data 7) US, EU or any-country credit card information 8) US, EU or any-country personal data.

4.6 All users of the digital platform agree that the digital platform mobile app specific features such as image and/or video upload using mobile phone photo gallery and picture upload using mobile phone camera are strictly to facilitate the features for the mobile phone user of the platform app to upload product images, bill of lading and delivery signature images, and any other usage of such features outside the purpose by the user is strictly prohibited.

4.7 All users of the digital platform agree that the digital platform mobile app specific features such as image or video upload using mobile phone photo gallery and picture upload using mobile phone camera should be under reasonable size (less than 250 KB) and video duration (less than 30 seconds) to facilitate the features for the ease of use by mobile phone users.

4.8 This app from Soori Global Systems, Inc., collects your email and phone number for authentication purposes using the technology from Google. This app integrates with the technology from Stripe and Plaid that collect your information for the business transaction purposes. By ticking on the check-box and clicking on the ‘Agree Terms’ button during the Sign-Up and Sign-In process, you give us your consent to fully agree to these terms and authorize us to use your information.

5. MightyStone Digital Platform Services

5.1 There is no membership fee for an unspecified period of time to use the platform and the membership is offered by invitation during this period. MightyStone reserves the right to change the service offerings temporarily or permanently at any time with or without specifying the reason, with or without prior notice.

5.2 MightyStone reserves the right to test, remove the images, videos, and any other contents uploaded by the users, temporarily or permanently at any time with or without specifying the reason, with or without prior notice.

5.3 MightyStone reserves the right, including but not limited to, track the IP addresses, mobile device and geographical information, and to monitor the transactions performed by the users on the digital platform and take actions to prevent unspecified damages or to promote and market products as required at anytime with or without specifying the reason, with or without prior notice.

5.4 MightyStone reserves the right to disallow, disable specific or all features of the platform from any user, temporarily or permanently at any time with or without specifying the reason, with or without prior notice.

5.5 MightyStone reserves the right to suspend or terminate the user access to the digital platform, temporarily or permanently at any time with or without specifying the reason, with or without prior notice.

5.6 All users of the digital platform agree that MightyStone is not liable or not responsible for any damages and losses incurred to users in connection with such actions from MightyStone listed in this section.

5.7 Platform features and access by country or geographical location may vary and MightyStone reserves the right and has no liability to disclose the reason.

5.8 MightyStone reserves the right to verify member identity either by MightyStone or 3rd party, including but not limited to, the information provided by members such as company name, address, ownership, phone numbers, emails, bank accounts, with or without specifying the reasons.

5.9 MightyStone does not warrant any specific period for resolution of issues that are platform specific or non-platform specific, that may arise, with or without specifying the reasons, with no liability to MightyStone for any damages and losses incurred to users in connection with such issues.

5.10 It is critical for the user to secure the user login and password that are used to access the platform. MightyStone will not ask for user login and password information. User agrees that MightyStone has no liability for any damages and losses incurred to the user in connection with the user's failure to stay in compliance with this critical practice.

5.11 All users of the digital platform agree that the texts, notifications sent to mobile phones through the platform may have additional charges to users by user's mobile service providers that MightyStone is not responsible for.

5.12 All users of the digital platform agree that the on-boarding to the digital platform access to features of the digital platform is based on the successful verification of user's identity and/or user's bank account by MightyStone or the 3rd party.

5.13 All users of the digital platform agree that the information published by the user on the platform is publicly visible to all other users of the digital platform in addition to MightyStone, and the user agrees that the user is giving the consent to MightyStone to publish the user provided information publicly.

5.14 All users of the digital platform agree that MightyStone does not warrant and/or be liable and/or responsible for the quality, reliability, stability, accuracy, validity of the platform content including but not limited to the content uploaded by the users.

5.15 All users of the digital platform agree that the content downloaded from the platform might harm the user's devices and user downloads such content at their own discretion. User agrees that MightyStone has no liability or responsibility for any damages and losses incurred to the user in connection with such actions.

5.16 All users of the digital platform agree that the platform and its feature availability is not guaranteed due to various reasons including but not limited technological issues. User agrees that MightyStone has no liability or responsibility for any damages and losses incurred to users in connection with such issues and/or service disruptions.

5.17 All users of the digital platform agree that MightyStone solely owns and has licenses to all the platform content and other assets including but not limited to the intellectual property rights and trade secrets, processes and frameworks, tools and technologies that are protected by worldwide copyright and other laws. All assets, including but not limited to, logos, icons, MightyStone, MightyStone digital platform are registered trademarks of MightyStone. All rights of the entire digital platform are reserved by MightyStone, unless otherwise stated.

6. User Responsibility

6.1 After the first login, within the requested time, user including but not limited to seller, shipper, financier is requested to on-board online using a 3rd party site such as Stripe that MightyStone integrated with. User understands that app is uploading user's phone number and installed application information via Stripe SDK and by clicking the button to accept these terms of services agreement, user explicitly is giving MightyStone the consent to upload user's phone number and installed application information via Stripe SDK. By logging in to the MightyStone digital platform, user agrees to the terms of services of all the 3rd-party organizations including but not limited to Plaid, Stripe etc. that MightyStone is integrated with. User agrees that MightyStone has no liability for any damages and losses incurred to the user in connection with the user's failure to stay in compliance with this critical practice.

6.2 All users of the digital platform agree that no fraudulent, defamatory, unlawful (per local and international law), threatening, harassing (including but not limited to speech, writing, visuals) actions are performed by the user during the use of the MightyStone Digital Platform through Mobile Apps.

6.3 All users of the digital platform agree that user does not violate and stay in compliance with any applicable law, regulation and ordinance (per local and international law), including but not limited to, export laws and controls, unfair competition, anti-discriminatory, false advertising) during the use of the MightyStone Digital Platform through Mobile Apps.

6.4 All users of the digital platform agree that no fraudulent, illegal information is offered and/or shared, no unlawful threatening, harassing, discriminating, is practiced, no obscene and/or pornography related images, products, information that is harmful to minors is offered and/or shared, no unlawful and unauthorized pricing strategy, advertising, is practiced while using the digital platform with other users of the digital platform,

6.5 All users of the digital platform agree that they do not involve in adding harmful viruses and other practices causing MightyStone the technology, business and legal overheads and/or losses.

6.6 All users of the digital platform agree that they do not involve in violating copyrights on the information they upload, copying and reproducing the digital platform content, including but not limited to, images, designs, process flows causing other users and MightyStone the technology, business and legal overheads and/or losses.

6.7 All users of the digital platform agree that the user obtains the permissions and licenses to publish user's content and information, and user is legally bound and responsible for any copyright violations on the content and information the user publishes on to the digital platform, and authorizes MightyStone to publish the content with no liability and responsibility for any such copyright violations by the user.

6.8 All users of the digital platform agree that they do not involve in false ratings and sharing negative feedback on other users with no relevance, violating MightyStone and other users copyrights, copying and reproducing the digital platform content, including but not limited to, images, designs, process flows causing other users and MightyStone the technology, business and legal overheads and/or losses.

6.9 All users of the digital platform agree that there is risk involved in dealing with fraudulent people. Though MightyStone makes reasonable efforts to verify user identity, users agree that MightyStone is not able to confirm the identity. Users agree that they evaluate others they are dealing with at their discretion and agree that MightyStone is not liable and/or not responsible for any types of losses to users arising in connection with such dispute or transaction.

6.10 All users of the digital platform agree that they provide necessary information and materials related to any transaction on the digital platform, as and when required by MightyStone.

6.11 All users of the digital platform agree that, when users have dispute with any part of the transaction, users will release MightyStone and MightyStone associates including but not limited to MightyStone owners, directors, employees, affiliates from all types of claims, demands, costs, losses, damages that are arising in connection with such dispute or transaction.

6.12 All users of the digital platform agree that, when users have dispute with any part of the transaction, users agree that MightyStone and MightyStone associates including but not limited to MightyStone owners, directors, employees, affiliates, are not liable and/or not responsible for any types of losses to users arising in connection with such dispute or transaction.

6.13 All users of the digital platform agree that the information provided by the users, including but not limited to, email, phone, address, bank account as applicable, product quality, dimensions, images, information related to shipping, shipment tracking, delivery is current, true and accurate.

6.14 All users of the digital platform agree that they are giving consent to MightyStone that information provided by users to MightyStone and the digital platform, includes but limited to, is royalty-free, can not be revoked, and can be used by MightyStone freely, including but not limited to, copying the content, reproducing, altering, publishing to the extent that law permits.

6.15 All users of the digital platform agree that they are granting, includes but not limited to, an irrevocable, royalty-free, sub-licensable, perpetual license to MightyStone, on all the information and any associated rights, provided by users to MightyStone, so that MightyStone can freely, including but not limited to, copyright the content, reproducing, altering, publishing to the extent that law permits.

6.16 All users of the digital platform agree that they are over the age of 18 years. If you are under the age of 18 years, please do not use the digital platform.

6.17 All users including but not limited to buyers, explicitly giving their consent to MightyStone digital platform, to share their asset report generated via integrations including but limited to Plaid, to the financiers including but no limited to financier users of the MightyStone digital platform, by applying for financiing using MightyStone digital platform features including but not limited to the 'Pay Later (Financing)'. Users also agree that MightyStone and MightyStone associates including but not limited to MightyStone owners, directors, employees, affiliates, are not liable and/or not responsible for any types of losses to users arising in connection with this sharing of their asset report.

6.18 All users including but not limited to financiers, explicitly giving their consent to MightyStone digital platform that they use the asset report, the personal and business information of the other MightyStone digital platform users, received via integrations including but limited to Plaid, will be exclusively used towards the other users MightyStone purchase order related finance request approval purposes only. Users also agree that MightyStone and MightyStone associates including but not limited to MightyStone owners, directors, employees, affiliates, are not liable and/or not responsible for any types of losses or legal actions against users arising in connection with this usage of the asset report and/or personal and business information.

7. Chat Service

7.1 MightyStone offers the users of the platform a digital service built in to the mobile app to chat with the support team. All users of the digital platform agree that the content shared through the chat service is stored by MightyStone and will be internally used for purposes, including but not limited to, training.

7.2 All users of the digital platform agree that they do not perform fraudulent, defamatory, unlawful (per local and international law), threatening, unprofessional, harassing actions (including but not limited to using text, graphics, icons in chat messages) while chatting.

8. Limitation of Liability

8.1 All users of the MightyStone digital platform and Soori Global Systems, Inc., agree that in no event shall MightyStone and Soori Global Systems, Inc. be liable for any losses or damages beyond $50 irrespective of the damage occurrences.

8.2 All users of the digital platform agree that in no event shall any user and the platform be liable to the other user’s loss of profits or services, direct, indirect, special or consequential damages.

8.3 All users of the digital platform agree that in no event shall MightyStone and Soori Global Systems, Inc., be liable for personal injury of any Party directly or indirectly involved with MightyStone and Soori Global Systems, Inc., to the fullest extent of the Law permitted.

Additional Liability Disclaimer

MIGHTYSTONE, SOORI GLOBAL SYSTEMS INC. & PANDU RANGA MINERALS, SHALL NOT BE LIABLE FOR ANY DAMAGES OR LOSSES OF USERS ARISING FROM ANY USE OF MIGHTYSTONE & SOORI GLOBAL SYSTEMS, INC. ASSETS INCLUDING BUT NOT LIMITED TO DIGITAL TRADING PLATFORM APPS, FINANCIAL AND OTHER TRANSACTIONS.
